2027 MIDWEST GAMING CLASSIC EXHIBITOR AGREEMENT

The GOAT Store, LLC, referred to in this document as the "operator," is the underwriter and operator of the Midwest Gaming Classic. The term "exhibitor" is used in this document to refer to any individual, or organization, who wishes to engage in business activity, promote their organization, or display content at the Midwest Gaming Classic ("MGC"). The term "event" shall refer to the Midwest Gaming Classic as a whole.

  1. The exhibitor agrees to hold harmless the operator, event organizers, sponsors, affiliates, volunteers, as well as the venue and its staff, sponsors, and affiliates against any damage, loss, theft, or wear and tear, to any exhibitor's property including, but not limited to products (either for sale or not), demonstration materials (either for sale or not), or transportation equipment.
     
  2. Exhibitors are responsible for the well-being and reasonable care of their property at all times. While the operator will provide security arrangements for the event areas, the operator cannot, and does not, guarantee the well-being of any participant property within those areas. Furthermore, exhibitors are responsible for taking reasonable precautions to protect and safeguard their property against any damage, loss, or theft. The operator will take reasonable steps ensuring only authorized individuals are allowed access to vendor areas. During non-operation times, the operator will ensure vendor areas are locked. Vendors may arrange for additional security measures with the operator if needed.
     
  3. Exhibitors are liable for the well-being and reasonable care of materials supplied by the operator, the venue, or a contractor for the operator, including, but not limited to tables, linens, chairs, booth space, ceilings, and walls. In the event of damaged materials, the exhibitor may be required to replace damaged items with equivalents or provide monetary compensation to the provider of the items for repairs or replacement items.
     
  4. The operator reserves the right, at its sole discretion, to prohibit participation in the event and to deny the display, sale, or use of any materials which may be inappropriate from the event premises, website, or promotional material. Inappropriate material may include, but is not limited to, materials which are illegal, derogatory, of a pornographic or sexual nature, are political in nature, or infringe on the intellectual property rights of another individual or company. If there is a question regarding the appropriateness of the content, please contact the operator ahead of time to make a determination.
     
  5. The exhibitor agrees the operator may share their personally identifiable information with trusted third parties directly related to the operation of the event and servicing the exhibitor.
     
  6. The operator reserves the right to prohibit an exhibitor from involvement in the event at any time for any reason.
     
  7. Exhibitors agree to abide and follow all policies set forth by both the Midwest Gaming Classic and the venue.
     
  8. Violations of the terms of this agreement may cause for eviction from the event, the forfeiture of all payments, and participation in future events.
     

STATE OF WISCONSIN TEMPORARY EVENT INFORMATION

The Midwest Gaming Classic is a temporary event held in the State of Wisconsin. As such, we are obligated to report certain information from exhibitors to the State of Wisconsin. As an exhibitor of the Midwest Gaming Classic, you are obligated to provide us with the requested information.

Exhibitors are required to submit their basic contact information, Wisconsin seller's permit number (if applicable), last four digits of FEIN (businesses only), last four digits of SSN/TIN (individuals only), sales tax exemption status (if applicable), name of multi-level marketing company (if applicable).

Exhibitors who fail to provide the required information may be prohibited from participating in the Midwest Gaming Classic and may be subject to forfeiture of all payments.

Exhibitors are solely responsible for determining their State of Wisconsin sales tax obligations or exemption. The Midwest Gaming Classic cannot, and will not, offer legal or tax advice.

Exhibitors who are required to have a Wisconsin sellers' permit must have a copy of their permit present with them at the event.

CERTIFICATION

In case any provision in this agreement shall be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

This agreement is governed by and shall be construed in accordance with the laws of the State of Wisconsin.

This document constitutes the entire agreement between the exhibitor and the operator and supersedes any other agreements. Modifications may be made to this agreement via addendums.

2027 MIDWEST GAMING CLASSIC EXHIBITOR AGREEMENT
ADDENDUM B - ARTIST ALLEY VENDOR AGREEMENT

  1. This document amends the 2027 Midwest Gaming Classic Exhibitor Agreement with additional provisions for participants who wish to engage in business activities at the Midwest Gaming Classic, herein referred to as "vendors."
     
  2. All participants who wish to be vendors must submit a vendor application and receive approval to become a vendor. Applications must be accompanied with a non-refundable application fee of $50.00 for consideration which will be applied to the total cost. If the event is unable to offer the vendor booth space, the application fee shall be refunded.
     
  3. Vendors must provide a description and samples of artwork which will be available at the event subject to approval. All work must be created by the artist without the use of artificial intellegience.
  4. Vendors intending to sell any kind of food, beverage, or other consumables during the event must receive special approval by the MGC and approved/registered with Levy Restaurants at least 60 days in advance of the event.
     
  5. Vendors intending to sell weapons, blades, or similar, must receive special approval by the MGC, the venue, and must comply with any additional requirements set forth by the venue.
     
  6. Vendors are prohibited from running any kind of raffle, giveaway, or similar function where a fee or purchase is required. Any vendor wishing to run a giveaway must inform the operator in advance as additional steps must be taken to comply with applicable local and/or state laws.
     
  7. Any vendor wishing to hold an auction must be registered and licensed in the State of Wisconsin to do so.
     
  8. Vendor booth space will be offered on a first come, first-serve basis using the information contained in the vendor application. Once an offer has been sent, the vendor must accept the offer and submit payment in full by the due date indicated on the offer. If payment is not received by the due date, the offer will be rescinded and considered null and void.
     
  9. The vendor's assigned booth location is determined by the Midwest Gaming Classic planning committee. The committee places vendors in the best location within the Vendor Hall for cohesiveness and functionality of the show. The committee will take location requests into consideration; however, there is no guarantee specific requests will be granted.
     
  10. Vendors are prohibited from moving to another location without prior authorization from the operator. Furthermore, vendors are prohibited from selling, transferring, re-assigning, leasing, or otherwise allow others to use their assigned booth space.
     
  11. Assigned booth space may only contain one vendor unless otherwise authorized; vendors seeking to include additional individuals, businesses, or organizations must seek approval for each occurrence. Each additional booth occupant must submit a vendor application, application fee, and be approved.
     
  1. Vendors may provide their own tables, chairs, shelving, or other display items; tables not provided by the event must be covered with plastic, linen, or other fabric. All vendor-supplied items must be in good working condition.
     
  2. All physical items pertaining to the vendor must fit wholly within their assigned booth space and not intrude or interfere with any other adjacent booth space; if any items are found to be outside of the allotted space, the vendor may be asked to move them and/or be charged for additional space. All booth displays, shelving, grid walls, or other items must be completely free-standing. Additionally, vendor booth items may not extend beyond 12 feet above the floor.
     
  3. If a vendor arranges their booth in such a manner where attendees enter the booth space, the vendor must provide a barrier preventing attendees from physically accessing any other surrounding/adjacent booths. This barrier must not intrude or interfere with any other adjacent booth space. Example barriers include tables, grid wall, or other display systems which would prevent access; pipe and drape is not considered a suitable barrier.
     
  4. Vendors and their employees, volunteers, or other individuals associated with the vendor must pay admission each day of the event to access ticketed areas of the event as well as the vendor area during setup, tear down, and preparation times. Vendors shall receive one complimentary vendor badge for each booth purchased. Additional vendor badges may be purchased at the posted rates and conditions.
     
  5. The vendor grants the operator the right to use their name, description, logo, and any marks for the purposes of promotion and advertisement of the vendor. The vendor grants the operator the right to make corrections, adjustments, or modifications to the above-named items in the best interest of the event pending vendor approval of such changes.
     
  6. Vendors are required to provide adequate staffing to operate their booth during the posted public event hours of the Midwest Gaming Classic. Any vendor whose booth is not open for business, does not have anyone operating the booth, or leaves the event without permission, may be subject to ejection from the event and forfeit all related booth space, amenities, services, and payments. Furthermore, the vendor may be prohibited from participating in future events.
     
  7. Vendors are not authorized to park or otherwise leave vehicles or trailers at the venue. Temporary parking during designated load-in and load-out times is permitted, however, the vendor must be actively loading and must vacate the vehicle and/or trailer in a timely manner. Vendors who fail to comply may have their vehicle/trailer towed at their expense and may be prohibited from participating in future events.
     
  8. Vendors accept there may be minor variations on the surface venue floor based on the flooring material, seams, electrical cords, location of electrical hookups, or other items beyond the control of the event. Furthermore, vendors also accept there may be minor variations in booth dimensions and/or markings despite all reasonable efforts to provide vendors with accurate booth space.
     
  9. Vendors shall prominently display their vendor name and provide accurate contact information to customers. For any transactions valued at $100 or more, vendors must provide the customer with a receipt which includes accurate contact information.
     
  1. Vendors may cancel their participation in the 2027 Midwest Gaming Classic at any time up to and during the event by contacting us via e-mail or through the contact form on our website.

    Upon notice of cancellation, the vendor shall forfeit all booth space, amenities, promotions, services, and payments. Vendors may be eligible for a refund of payments, excluding any application fee, according to the schedule below.

    More than 90 days prior to event 50 percent refund of booth space
    61 to 90 days prior to event 25 percent refund of booth space
    60 days or less prior to event Not eligible for refund of booth space

    Vendors who register within 60 days prior to the event and subsequently cancel at least 7 days prior to the event may be eligible for a 50 percent refund of payments, excluding application fee.

    Any cancellations within 7 days of the event will not be eligible for a refund and may affect future participation with the Midwest Gaming Classic.

    If cancellation notice is received at least 7 days prior to the event, amounts paid for additional badges and booth amenities through the Midwest Gaming Classic, will be refunded in full.

    If vendors have ordered additional services through the venue or our event decorator, the vendor must contact each organization separately regarding the cancellation.

INTELLECTUAL PROPERTY PROVISIONS

The Midwest Gaming Classic believes in creating a safe and legitimate marketplace for vendors and attendees. To accomplish this, the following provisions apply to all vendors at the event:

  1. Goods traded or sold at the event shall be the original work authorized for sale by creator, publisher, and/or distributor who has legal claim to the work.
     
  2. At no time shall goods be sold which are an unauthorized modification, release, translation, and/or hack of an original work.
     
  3. Vendors shall not provide or disseminate information or perform services using methods or techniques which would result in infringement of the intellectual property rights of others.
     
  4. Vendors who have been authorized to modify original works may be asked to provide evidence of this authorization.
     
  5. If there is a question regarding the status of goods or services, please contact the operator ahead of time for a determination.
     
  6. Vendors who violate these provisions may be asked to cease and desist immediately, ejected from the event, and/or forfeit all payments.
     
  7. The following are examples of goods and services which are prohibited under these provisions; this also includes goods which are the result of prohibited services. This list is not exhaustive and does not contain all possible examples.
    • Unauthorized reproduction games
    • Unauthorized use of registered marks
    • Illegal circumvention or removal of copy protection measures and/or digital rights management
    • ROM hacking (alter images, sprites, text, audio, video, or other modifications or enhancements)
    • Undubbing / language translations
    • Fan translations

CERTIFICATION

In case any provision in this agreement shall be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.

This agreement is governed by and shall be construed in accordance with the laws of the State of Wisconsin.
